Your role
As the Corporate Secretary, you will together with the Deputy Corporate Secretary form the Corporate Secretariat team. The Corporate Secretariat’s main areas of attention are related to:
1) Entity of FMO (Corporate Governance, Corporate Housekeeping and Legal Advice).
2) Management Board support.
3) Supervisory Board support.
The Corporate Secretariat works closely together with other FMO departments, including but not limited to the Management Board Secretariat, Compliance, Corporate Legal and CLT.
The task and responsibilities of the Corporate Secretary related to the entity of FMO (Corporate Governance, Corporate Housekeeping and Legal Advice) include:
- Staying updated on legal changes affecting the (development) banking sector, you'll collaborate with amongst other the Legal, Compliance and CLT departments on relevant issues.
- Assisting in projects and special transactions.
- Supporting the periodic audits on corporate governance.
- Ensuring that the company’s books and records are accurate and up to date which includes drafting and reviewing legal documents when necessary.
- Periodically review the Articles of Association and the various Standing Rules and keep them up to date.
- Keeping the Authorized Representatives policy up to date.
- Making sure filing as done properly and timely.
- Organizing the AGM/EGMs.
- Prepare DNO applications.
- Coordinating the (re)appointment process for Supervisory Board members in close collaboration with the various internal and external stakeholders.
- Maintain contact with FMO stakeholders.
Other tasks related to the entity of FMO and tasks & responsibilities related to Management Board support are carried out by the Deputy Corporate Secretary.
The tasks and responsibilities related to Supervisory Board support include:
- Organizing, preparing, and minuting Supervisory Board meetings, with meticulous attention to detail. Documenting and following up on action items. Additionally, you'll assist in managing corporate governance matters, maintaining a balance between openness and sensitive information management, and ensuring compliance with legal and regulatory requirements.
- Organizing, preparing, and minuting the Audit & Risk Committee, the Impact Committee, the Selection Appointment and Remuneration Committee, all with meticulous attention to detail. Documenting and following up on action items. Additionally, you'll assist in managing corporate governance matters, maintaining a balance between openness and sensitive information management, and ensuring compliance with legal and regulatory requirements.
- Developing and organizing the Lifelong Learning plan of the Supervisory Board.
- Monitoring and registering the outside positions and followed trainings of the Supervisory Board members.
- Support the Supervisory Board in the areas of Supervisory Board report for the annual report, their self-evaluation, their private investment overviews, onboarding/offboarding.
As this is a spider in the web role, effective collaboration and communication with internal & external stakeholders is very important. As is the active participation in meetings.
The Corporate Secretary and Deputy Corporate Secretary are each other’s back up. So, for example during holiday periods you will take over some tasks of the Deputy Corporate Secretary which relate to the three above mentioned main areas.
Our offer
- Gross yearly salary ranging from EUR 140-150K (based on 40 hours/ week, including 8% holiday allowance and 13th month) depending on your seniority, years of relevant experience, and background
- Working hours: 40 hours per week

- Hybrid way of working (at least 3 days in the office).
- Working remotely abroad for 60 days in a rolling period of 12 months.

Your background
- Bachelor’s or master’s degree in Dutch law or relevant field.
- Proven experience of at minimum 10 years in a similar role in a supervised financial institution.
- Clear eye for detail and accuracy.
- Strong organizational and planning skills.
- Excellent written and verbal communication skills in Dutch and English.
- Extensive experience with corporate governance principles and legal compliance.
- Ability to work collaboratively and independently.
Good to know:
- Only candidates currently living in the Netherlands will be considered for this position.
- A selection assessment will be part of the recruitment process.
- The position is for 5 days a week, with a minimum of 3 days at the office.
