Who is our customer?

TBC Bank is one of the largest privately owned banks in Georgia. TBC Bank is a universal bank and provides a wide range of products to their clients in the corporate, Micro, Small, and Medium Enterprises (MSME) and retail segments. The parent of TBC Bank is listed on the Premium Segment of the London Stock Exchange.

What is our funding objective?

In this landmark transaction, FMO acted as Mandated Lead Arranger and will continue to serve as Facility Agent. The syndicate reflects a blend of newly established and enduring financing relationships, bringing together leading Gulf-based financial institutions such as Mashreq Bank, Abu Dhabi Commercial Bank (ADCB), and Commercial Bank of Dubai (CBD), together with long-standing partners, Commerzbank and BlueOrchard Microfinance Fund (BOMF). The total syndicated facility amounts to USD 210 million, of which FMO provides USD 65 million, while the remaining USD 145 million is contributed by participating commercial banks. This facility represents the largest senior syndicated financing arranged by FMO, not only in Georgia but also Commonwealth of Independent States (CIS) region to date, underscoring the depth of international investor confidence in the country's financial sector.

Why do we fund this investment?

The facility supports financing for the MSME segment in Georgia, with a strong focus on agricultural, rural, and youth sub-borrowers. 70% of FMO’s investment is labelled as Reducing Inequalities as it supports activities that contribute to inclusive growth, contributing to SDG 8 and 10. In addition, 30% of FMO’s investment is labelled as Green as it supports activities that contribute to climate mitigation, contributing to SDG 13, in line with FMO’s methodology to determine the green finance attribution. The facility will enable TBC to expand access to finance for underserved MSMEs while increasing funding for green projects, reinforcing sustainable and inclusive growth in Georgia.

What is the Environmental and Social categorization rationale?

The bank has been categorized as FI-Category A in accordance with FMO’s Sustainability Policy. The bank’s activities are deemed to have potential, significant and adverse environmental and social risks and/or impacts. The Environmental and Social (‘E&S’) risks of the bank are managed through an existing Environmental and Social Risk Management System (ESMS) operated by dedicated E&S staff in house. As part of the transaction, TBC Bank will be required to apply the EDFI Exclusion List, Georgia E&S laws and regulations and the IFC Performance Standards Framework for the identified Triggered Transactions.
